Partnership, contract…these are words which are frequently interchanged during discussions outlining joint venture arrangements. However, a successful JV is often characterised by the intent in the definition of a ‘partnership’ rather than that set out in the definition of a ‘contract’.

Once any arrangement resorts to the contract, it is almost dead in the water – unless you have some under-employed lawyers or nothing to lose, whether it be money or reputation.
